Terms of Service

1. Introduction & Agreement to Terms

These Terms of Service (the "Terms") govern your access to and use of MatchMe, including any related websites, products, and services (collectively, the "Service"). MatchMe is a collaboration platform that connects ambitious individuals with meaningful, long-term projects. It is not a job board, not a freelance marketplace, and does not focus on short-term gigs or one-off transactions; instead, MatchMe is built on the philosophy that collaboration precedes compensation , helping people co-create and build projects that may pay dividends over time rather than immediately.

The Service is operated by MatchMe, operated by Maksym Tarasov, based in Canada ("MatchMe", "we", "us", or "our"). These Terms form a legally binding agreement between you and MatchMe. By accessing or using the Service in any way - including visiting our website, browsing content, creating an account, or interacting with other users - you acknowledge that you have read, understood, and agree to be bound by these Terms and by any additional policies or guidelines we reference, including our Privacy Policy.

If you do not agree to these Terms or to our Privacy Policy, you must not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" will refer to both you and that organization.

2. Eligibility & User Types

The Service is intended for older teens and adults who are able to enter into meaningful collaboration and project relationships. You may use the Service only if:

  • You are at least 16 years old (or older if a higher minimum age is required by the laws of your jurisdiction for you to lawfully use online services and consent to these Terms)
  • You have the legal capacity to enter into a binding contract with us
  • You are not barred from using the Service under any applicable laws.

By using the Service, you represent and warrant that you meet these eligibility requirements. If you do not meet them, you must not use the Service.

We may have different types of users, including without limitation:

  • Project creators - users who create, publish, or manage projects or opportunities on MatchMe.
  • Collaborators - users who explore, apply to, or join projects created by others.
  • Visitors - individuals who browse public parts of the Service without creating an account.

Some features may only be available to registered users (such as project creation, messaging, or collaboration tools). We may change eligibility criteria or access to specific features over time, consistent with these Terms.

3. Account Registration, Security & Access

To use certain features of the Service, you must create an account. When you register, you agree to:

  • Provide accurate, current, and complete information, and keep it updated.
  • Not create an account using a false identity or on behalf of someone else without proper authorization.
  • Maintain the security of your account credentials (such as your email-based login or third-party authentication).

You may be able to register or sign in using email-based authentication (such as one-time passwords or magic links) or third-party login providers (such as Google or GitHub). You are responsible for any activity that occurs under your account, whether or not you authorized it, and you must promptly notify us if you believe your account has been compromised or accessed without your permission.

We reserve the right, at our reasonable discretion, to:

  • Refuse or cancel any account or username that we believe violates these Terms, infringes on someone’s rights, or poses a risk to the Service or other users; and
  • Suspend or terminate access to some or all of the Service, including your account, as further described in our termination provisions (for example, in cases of misuse, fraud, or security concerns).

Your access to the Service is provided on a revocable, limited basis, and we do not guarantee that the Service or your account will always be available.

4. Description of the Service & Relationship Between Users

MatchMe provides an online platform that helps individuals discover, create, and join projects, with a focus on long-term collaboration and co-building rather than short-term work-for-hire. The Service enables users to share project ideas, describe opportunities, connect with potential collaborators, and communicate about possible collaboration and shared outcomes.

You acknowledge and agree that:

  • MatchMe does not employ users and does not act as an employer, hiring entity, recruiter, or agent for any user or project.
  • MatchMe is not a party to any agreements, arrangements, or relationships entered into between users to any agreements, arrangements, or relationships entered into between users (including but not limited to collaboration agreements, co-founder arrangements, equity splits, revenue-sharing deals, or any other form of compensation or commitment).
  • MatchMe does not guarantee any particular outcome, success, project completion, financial return, or compensation of any kind, whether present or future.
  • All decisions about whether to start, join, or continue a project; which collaborators to work with; and what terms to agree upon are solely your responsibility and the responsibility of other users with whom you interact.

You are solely responsible for conducting your own due diligence, assessing the skills and trustworthiness of other users, and negotiating any project or compensation terms directly with them. MatchMe does not perform background checks or verify the accuracy of user profiles, project descriptions, or claims made by users, though we reserve the right to take reasonable steps to address abuse or policy violations.

Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and MatchMe, or between MatchMe and any project or team formed through the Service.

5. Acceptable Use & Prohibited Conduct

You agree to use the Service responsibly, lawfully, and in a manner that respects other users and the purpose of MatchMe. In using the Service, you must:

  • Comply with all applicable laws and regulations.
  • Treat other users with respect, and avoid harassment, bullying, hate speech, or discriminatory conduct.
  • Use the Service only for legitimate collaboration and project-building purposes consistent with MatchMe's mission.

Without limiting the generality of the above, you must not:

Misrepresent yourself or your projects

  • Create a false identity or misrepresent your skills, experience, or intentions.
  • Publish misleading or deceptive project descriptions, opportunities, or promises of compensation or equity.

Engage in abusive or harmful behavior

  • Harass, threaten, or abuse any user or group.
  • Post or send content that is defamatory, obscene, hateful, or otherwise reasonably objectionable.

Use the Service for illegal or fraudulent purposes

  • Use MatchMe to promote or engage in fraud, scams, or any unlawful activities.
  • Solicit or facilitate activities that violate applicable laws or third-party rights.

Interfere with the Service or its security

  • Attempt to access accounts or data that do not belong to you.
  • Introduce malware, attempt to hack, probe, or test the vulnerability of our systems without authorization.
  • Scrape, crawl, or harvest data from the Service (including user profiles or content) using automated means, except as expressly permitted by us.
  • Reverse engineer, decompile, or attempt to derive the source code of any part of the Service, except to the limited extent allowed by applicable law despite this restriction.

Spam or misuse communication features

  • Send unsolicited or mass messages unrelated to genuine collaboration (including promotional or commercial spam).
  • Use the Service primarily as a lead-generation or recruitment tool for unrelated services, platforms, or products without our prior written consent.

We reserve the right (but have no obligation) to investigate and take appropriate action in response to suspected violations of these Terms or harmful behavior, which may include removing or editing content, suspending or terminating accounts, and cooperating with law enforcement or other authorities where required or appropriate.

6. User Content & Intellectual Property

"User Content" means any information, text, images, media, links, descriptions, project details, messages, or other material that you submit, upload, post, or otherwise make available through the Service, including your profile and project pages.

Except as expressly provided in these Terms, you retain all ownership rights in and to your User Content. Nothing in these Terms transfers ownership of your User Content to MatchMe.

By submitting or making User Content available through the Service, you grant MatchMe a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, display, perform, adapt, modify (for formatting or technical purposes), and otherwise use your User Content as reasonably necessary to operate, maintain, promote, and improve the Service, and to develop new features and services. This license continues for as long as your User Content is available on the Service and, to a limited extent, thereafter to the extent necessary for backups, logs, legal obligations, and reasonable business purposes.

You represent and warrant that:

  • You have all rights, licenses, consents, and permissions necessary to submit your User Content and to grant the rights described above; and
  • Your User Content, and our use of it as permitted by these Terms, does not and will not infringe, misappropriate, or violate any third party's intellectual property, privacy, or other rights, or violate any applicable law.

We do not have an obligation to monitor all User Content, but we reserve the right, in our discretion, to review, remove, or restrict access to any User Content that we believe may violate these Terms, our policies, or applicable law, or that may harm MatchMe, our users, or the public.

7. Project Collaborations, Compensation & No Employment

MatchMe is designed to support long-term collaboration, not guaranteed or immediate pay. The core philosophy of the platform is that collaboration precedes compensation: people invest their time and skills into projects they believe in, with the understanding that any financial or other rewards, if they arise, are shared based on agreements users make with each other.

Any discussions or arrangements regarding compensation (including equity, revenue sharing, future payouts, or other benefits) are negotiated directly between users. MatchMe does not guarantee that any collaboration will result in payment, revenue, equity, employment, or any other specific outcome, now or in the future.

Nothing in these Terms, or in your use of the Service, creates:

  • An employment, contractor, agency, or partnership relationship between you and MatchMe;
  • An employment or agency relationship between MatchMe and any project team, founder group, or collaborators that connect through the Service.

You are solely responsible for understanding and complying with any employment, tax, contract, or other legal obligations that may arise from your collaborations, agreements, or activities with other users. MatchMe is not responsible for, and will not be a party to, any disputes, claims, or obligations related to such arrangements, including disputes over compensation, equity, or roles.

8. Payments, Revenue Sharing & Refunds

At this time, MatchMe does not process payments between users, handle revenue sharing, or provide built-in mechanisms for distributing equity, revenue, or other compensation. Any payments, equity allocations, or other compensation or value transfers are handled off-platform, directly between users, and you understand that MatchMe has no control over, and no responsibility for, such arrangements.

Because MatchMe does not currently process payments for collaborations between users, we do not offer or administer refunds related to such arrangements. Any questions or disputes about payment, refunds, or compensation must be resolved directly between the parties involved.

9. Third-Party Services & Links

The Service may allow users to include or share links to third-party websites, profiles, and services (such as GitHub, LinkedIn, X, personal websites, or project sites). These third-party sites and services are not controlled by MatchMe, and we are not responsible for their content, policies, or practices.

We also rely on third-party infrastructure and tools - such as Supabase (for database and authentication), Vercel (for hosting and delivery), and PostHog (for analytics) - to operate the Service. These providers have their own terms and privacy policies, which govern their handling of data and services.

Your use of any third-party websites, apps, or services (including those linked to from MatchMe or integrated into the platform) is at your own risk and subject to the terms and policies of those third parties. MatchMe does not endorse, guarantee, or assume responsibility for any third-party content, products, or services, or for any damages or losses arising from your use of them.

10. Privacy & Data Protection

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, share, and protect your personal information. By using MatchMe, you acknowledge that you have read and understand our Privacy Policy and agree that we may process your information as described there.

MatchMe is operated from Canada and handles personal information in line with applicable Canadian privacy laws, including the principles of the Personal Information Protection and Electronic Documents Act (PIPEDA), as well as other applicable data protection laws where relevant. We use infrastructure providers such as Supabase, Vercel, and PostHog to store and process data as necessary to operate and improve the Service.

11. Service Changes, Availability & Beta Features

We are constantly working to improve MatchMe and may change the Service from time to time. We may, at any time and without prior notice (subject to applicable law):

  • Add, modify, or remove features or functionalities;
  • Update the design, performance, or underlying technologies; or
  • Temporarily or permanently suspend or discontinue all or part of the Service.

We do not guarantee that the Service will always be available, uninterrupted, secure, or free from errors or bugs. You understand that outages, maintenance, and other disruptions may occur, and that we are not liable for any harm or loss resulting from such issues, to the extent permitted by law.

From time to time, we may offer beta, experimental, or early-access features. These features may be less stable, may change significantly, or may be discontinued at any time. Your use of beta or experimental features is at your own risk, and they are provided "as is" without any warranties beyond those required by applicable law.

12. Suspension & Termination

We want MatchMe to remain a safe and useful place for collaboration, and we may need to step in if the Service is abused.

We may, with or without prior notice and to the extent permitted by law, suspend or terminate your access to some or all of the Service (including your account) if we reasonably believe that:

  • You have violated these Terms or any other applicable policies;
  • You are engaging in or facilitating fraud, abuse, or other harmful or illegal activity;
  • Your use of the Service poses a risk to other users, to us, or to the security or operation of the Service; or
  • We are required to do so by law, regulation, or a competent authority.

You may stop using the Service at any time, and you may request to close your account in accordance with our processes. Termination or suspension may result in the loss of access to your account and certain associated data or features.

Upon termination of your account or access, your right to use the Service will cease immediately. Some information may continue to be retained by us as described in our Privacy Policy—for example, in logs, backups, or records we maintain for security, legal, or operational reasons. We are not responsible for any loss or harm you may suffer as a result of a suspension or termination of access in accordance with these Terms, to the extent permitted by law.

13. Disclaimers (No Warranties)

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory.

Without limiting the foregoing, we do not make any promises or guarantees that:

  • User profiles, project descriptions, or other User Content are accurate, complete, reliable, or up-to-date;
  • Any particular match, collaboration, or project opportunity will be available to you;
  • Any project will succeed, be completed, or generate any revenue, equity, or other benefits; or
  • The Service will be uninterrupted, secure, or free of errors, defects, or harmful components.

You use MatchMe at your own risk. You are solely responsible for evaluating potential collaborators and projects, conducting your own due diligence, and deciding whether to join or continue any collaboration.

To the fullest extent allowed by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, quiet enjoyment, and non-infringement.

14. Indemnification

You agree, to the extent permitted by law, to defend, indemnify, and hold harmless MatchMe, its operator (including Maksym Tarasov), and its affiliates, service providers, and their respective officers, directors, employees, and agents, from and against any and all claims, demands, disputes, actions, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your access to or use of the Service;
  • Your User Content, projects, or collaborations, including any agreements you enter into with other users;
  • Your violation of these Terms or any applicable law or regulation; or
  • Your violation of any third party's rights (including intellectual property, privacy, or personality rights).

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

15. Governing Law & Dispute Resolution

These Terms and any dispute, claim, or controversy arising out of or relating to them or to the Service will be governed by and construed in accordance with the laws of Canada and the laws of the Province of Manitoba, without regard to its conflict of law provisions.

You and MatchMe agree that any legal action or proceeding arising out of or relating to these Terms or the Service will be brought exclusively in the provincial or federal courts located in Winnipeg, Manitoba, and you consent to the personal jurisdiction and venue of those courts.

Before initiating formal legal proceedings, we encourage you to contact us at support@matchme.me to try to resolve the issue informally. Nothing in this section, however, limits either party's right to seek urgent or injunctive relief where permitted by law.

16. Changes to the Terms

We may update or modify these Terms from time to time, for example to reflect changes in the Service, our practices, or applicable law. When we do, we will update the " Last updated" date at the top of the Terms and may provide additional notice for material changes (such as a prominent notice on the site or an email to registered users).

Any changes will take effect when they are posted, unless otherwise specified. Your continued access to or use of the Service after the revised Terms become effective will constitute your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and, if applicable, close your account.
